Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sakay Mobility ("Sakay", "we", "us", or "our"), with its registered office at [Registered office address], Republic of the Philippines. These Terms govern your access to and use of the Sakay passenger application, the Sakay driver application, our websites, and all related services, features, and content (collectively, the "Services").

Please read these Terms carefully. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

1. Acceptance of these Terms

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. If you use the Services on behalf of another person or entity, you represent that you are authorized to bind them to these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of the Republic of the Philippines to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the information you provide is true, accurate, current, and complete.

Sakay provides a technology platform that connects passengers seeking transportation with independent third-party drivers willing to provide it. Sakay is not a transportation carrier or provider and does not itself provide transportation services. Drivers are independent contractors and are not employees, agents, or partners of Sakay. We do not guarantee the availability of drivers, the acceptance of any booking, or any particular arrival or completion time.

We may offer promo codes, discounts, referral rewards, and driver incentives ("Promotions"), each subject to its own terms, eligibility, validity period, and usage limits as disclosed in the app. Promotions are non-transferable, have no cash value unless stated, and may be modified or withdrawn at any time. We may withhold or reverse Promotions that are obtained through fraud, error, or abuse.

10. Ratings and feedback

After a trip, passengers and drivers may rate one another and leave comments or tags. Ratings and feedback help maintain quality and safety on the platform. You agree to provide ratings and feedback honestly and not to use them to harass, defame, or mislead. We may use ratings to determine continued eligibility to use the Services.

11. Safety features

The Services include safety tools such as an in-app SOS alert and the ability to share your live trip with trusted contacts. These tools are provided to assist you but are not a substitute for emergency services. In an emergency, you should always contact local emergency responders directly. You agree to use safety features responsibly and not to raise false alerts.

13. Intellectual property

The Services, including all software, text, graphics, logos, trademarks, and content (excluding content you submit), are owned by or licensed to Sakay Mobility and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. You retain rights in content you submit, and grant us a license to use it as necessary to operate and improve the Services.

14. Disclaimers and limitation of liability

To the maximum extent permitted by the laws of the Republic of the Philippines, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that drivers or passengers will act lawfully or appropriately.

Because Sakay is a technology platform and not a transportation provider, we are not responsible for the acts or omissions of drivers or passengers. To the maximum extent permitted by law, Sakay and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Philippine law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sakay Mobility and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms or applicable law, or your infringement of the rights of any third party.

16. Suspension and termination

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if you breach these Terms, if we are required to do so by law, or if we reasonably believe your conduct creates risk or harm. You may stop using the Services at any time and may delete your account via the Account Deletion page or the in-app delete-account option. Provisions that by their nature should survive termination will survive.

17. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. The parties shall first attempt in good faith to resolve any dispute amicably. Where a dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of the Philippines, subject to any mandatory consumer-protection venue rights you may have under Philippine law.

18. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, where the changes are material, provide a more prominent notice in the app or by other appropriate means. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
