Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sakay Mobility ("Sakay", "we", "us", or "our"), with its registered office at [Registered office address], Republic of the Philippines. These Terms govern your access to and use of the Sakay passenger application, the Sakay driver application, our websites, and all related services, features, and content (collectively, the "Services").
Please read these Terms carefully. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
1. Acceptance of these Terms
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. If you use the Services on behalf of another person or entity, you represent that you are authorized to bind them to these Terms.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of the Republic of the Philippines to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the information you provide is true, accurate, current, and complete.
3. Accounts and security
- You register using your mobile number and verify it by one-time passcode (OTP). You are responsible for keeping your device, credentials, and access tokens secure.
- You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized use or security breach.
- You must provide accurate information and keep it up to date. We may refuse, suspend, or terminate accounts that contain false information or that we reasonably believe are involved in fraud, abuse, or unsafe behavior.
- Accounts are personal to you and may not be transferred or shared without our consent.
4. The Service โ a technology platform
Sakay provides a technology platform that connects passengers seeking transportation with independent third-party drivers willing to provide it. Sakay is not a transportation carrier or provider and does not itself provide transportation services. Drivers are independent contractors and are not employees, agents, or partners of Sakay. We do not guarantee the availability of drivers, the acceptance of any booking, or any particular arrival or completion time.
5. Bookings, fares, cancellations, and fees
- Bookings. Passengers may request a trip and will be shown a fare estimate before confirming. Confirming a booking constitutes an offer to engage an available driver through the platform.
- Fares. Fares are calculated from the applicable base fare, distance, time, booking fee, and other applicable charges (such as waiting fees or tolls), less any applicable promo discount. Final fares may differ from estimates where the route, distance, time, or other conditions change.
- Cancellations. You may cancel a trip in accordance with the rules disclosed in the app. A cancellation fee may apply where a cancellation occurs after a driver has accepted or is en route, or where a no-show occurs.
- Fees. All applicable fees are disclosed in the app prior to or at the time of booking. We may change fares and fees from time to time, with such changes applying to future bookings.
6. Payments, wallet, top-ups, cashouts, and commissions
- Payment. You authorize us, and our payment partners, to charge your selected payment method or in-app wallet for fares and applicable fees.
- Wallet and top-ups. The in-app wallet records balances and transactions. Top-ups are subject to minimum amounts and the rules disclosed in the app.
- Driver earnings and commissions. For each completed trip, we deduct a service commission at the rate disclosed in the app, and credit the remaining driver earnings to the driver's wallet.
- Cashouts. Drivers may request cashouts to an eligible destination (such as GCash, Maya, or bank), subject to minimum and maximum amounts, daily caps, available balance, and verification rules. Requests that violate these rules may be declined.
- Taxes. You are responsible for any taxes applicable to amounts you receive or pay through the Services.
7. Promotions
We may offer promo codes, discounts, referral rewards, and driver incentives ("Promotions"), each subject to its own terms, eligibility, validity period, and usage limits as disclosed in the app. Promotions are non-transferable, have no cash value unless stated, and may be modified or withdrawn at any time. We may withhold or reverse Promotions that are obtained through fraud, error, or abuse.
8. Driver obligations and independent-contractor status
If you use the Services as a driver, you additionally agree that you will:
- Maintain a valid government-issued identification, a valid driver's license, a valid NBI clearance, and all other documents we require, and keep them current and unexpired.
- Operate only a roadworthy, registered, and properly insured vehicle with valid OR/CR, and keep its details accurate on the platform.
- Comply with all applicable laws and regulations, including those of the Land Transportation Franchising and Regulatory Board (LTFRB) and other competent authorities, where applicable to your operation.
- Maintain any required credit-wallet balance to accept cash trips, and conduct yourself professionally, lawfully, and safely at all times.
- Be solely responsible, as an independent contractor, for your own taxes, social contributions, permits, and the conduct of your transportation services. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Sakay.
9. Passenger obligations and conduct
- Provide accurate pickup and drop-off information, and be ready at the pickup location at the agreed time.
- Pay all fares and applicable fees for trips booked under your account.
- Treat drivers and their vehicles with respect, comply with reasonable instructions concerning safety, and refrain from causing damage, soiling, or excessive delay.
- Comply with all applicable laws during your use of the Services.
10. Ratings and feedback
After a trip, passengers and drivers may rate one another and leave comments or tags. Ratings and feedback help maintain quality and safety on the platform. You agree to provide ratings and feedback honestly and not to use them to harass, defame, or mislead. We may use ratings to determine continued eligibility to use the Services.
11. Safety features
The Services include safety tools such as an in-app SOS alert and the ability to share your live trip with trusted contacts. These tools are provided to assist you but are not a substitute for emergency services. In an emergency, you should always contact local emergency responders directly. You agree to use safety features responsibly and not to raise false alerts.
12. Prohibited conduct
You agree that you will not, and will not attempt to:
- Use the Services for any unlawful, fraudulent, harmful, harassing, discriminatory, or unsafe purpose.
- Impersonate any person, misrepresent your identity, or provide false documents or information.
- Interfere with, disrupt, reverse engineer, scrape, or attempt to gain unauthorized access to the Services or related systems.
- Use the Services to transport unlawful goods, or carry passengers or operate in violation of law.
- Circumvent fares, commissions, Promotions, or any security or verification measure.
Violations may result in suspension or termination of your account and may be reported to the authorities.
13. Intellectual property
The Services, including all software, text, graphics, logos, trademarks, and content (excluding content you submit), are owned by or licensed to Sakay Mobility and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. You retain rights in content you submit, and grant us a license to use it as necessary to operate and improve the Services.
14. Disclaimers and limitation of liability
To the maximum extent permitted by the laws of the Republic of the Philippines, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that drivers or passengers will act lawfully or appropriately.
Because Sakay is a technology platform and not a transportation provider, we are not responsible for the acts or omissions of drivers or passengers. To the maximum extent permitted by law, Sakay and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Philippine law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Sakay Mobility and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms or applicable law, or your infringement of the rights of any third party.
16. Suspension and termination
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if you breach these Terms, if we are required to do so by law, or if we reasonably believe your conduct creates risk or harm. You may stop using the Services at any time and may delete your account via the Account Deletion page or the in-app delete-account option. Provisions that by their nature should survive termination will survive.
17. Governing law and dispute resolution
These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. The parties shall first attempt in good faith to resolve any dispute amicably. Where a dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of the Philippines, subject to any mandatory consumer-protection venue rights you may have under Philippine law.
18. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where the changes are material, provide a more prominent notice in the app or by other appropriate means. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
